Transaction Summary

This project involves the acquisition of the first of seven custom designed single family residence in an upscale section of Douglas County, Colorado, with a purchase agreement due to close November 11 through December 1, 2007. Offer price of $525,000 was accepted. The property will be scrapped, and an entirely new designed (photo) custom home built in its place.

One group of lenders will take title to the land while a second group will fund the initial development and start up construction.

Both Groups provide down money, closing costs and fees and 1 year PITI.

Since each group will be on the title and their Club’s credit is used to close the 1st mortgage loan, Lenders take the write-offs and a small appreciation payment when the loan(s) is amortized at the end of year one.

 

Each Group receives a straight forward 12% simple interest for one year. Security is accomplished via a Promissory Note and "Deed of Trust" lien position held by the Lender Club LLC in which each "lender" is a "Preferred Member".

 

Lender Club's money is deposited into an escrow account until closing. The nationally accredited Stewart Title Company is the Escrow Trust agent and the escrow manager.

 

Status

Property is in an active contract.

 

Closing is scheduled between November 12 and December 1, 2007.

 

Inspection completed August, 2007 including Radon Test.  Resolution to small check list was agreed to and signed September, 2007.

 

First Deed of Trust investor (Heart) approved for $405,000 1st mortgage by a Florida Bank.

 

All title work was completed and accepted with the exception of a ”Third Party” sub-surface mineral and geo-thermal energy rights exception.  The Developer has negotiation a 99-year lease on such rights and expects to have the final agreement sometime between November 12 and December 1, 2007.  Closing on the property is contingent upon receipt and acceptance of this document.

 

Appraisal ordered and will come in on target since all the "comps' support the asking price.

A single project, single asset Limited Liability Company (LLC) will be formed in Colorado to accomplish the transaction. It will be dissolved at the event of passing title to the option holder.

Once it is determined that he/she/it is committed, specimen forms of the Promissory Note and Deed of Trust will be sent to each "Lender Club".
